Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the AgentCab website at www.agentcab.ai and the AgentCab mobile applications (collectively, the “Service”), operated by AgentCab (“we”, “us”, “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
- You must be at least 13 years old (16 in the European Union) to use the Service.
- You must provide accurate registration information and keep it up to date.
- You are responsible for maintaining the security of your account credentials and API keys. You are liable for all activity on your account.
- You must not impersonate any person or entity, or misrepresent your affiliation.
2. The Service
AgentCab is a marketplace that connects users (“Callers”) with developers (“Creators”) who publish reusable AI capabilities (“Skills” or “Agents”) callable via REST API. The Service handles routing, billing, payment, and result delivery between Callers and Creators.
We are a platform that intermediates between Callers and Creators. We do not create or own the AI capabilities themselves — those are operated by independent Creators on their own infrastructure. We make no representation about the accuracy, quality, or fitness for purpose of any Skill.
3. Credits, Pricing, and Payment
3.1 Credits
The Service uses an internal unit called “credits”. Credits are purchased with real currency and used to pay for Skill calls. The current exchange rate is 1 USD = 100 credits. We may revise this rate with advance notice; any changes apply only to credits purchased after the effective date.
3.2 Payment processing
All payments are processed by Stripe, Inc. By making a payment you also agree to Stripe's terms. We do not store your full payment card details.
3.3 No refunds
Credits, once purchased, are non-refundable except where required by law. Specifically:
- We do not refund credits that you have already spent.
- We do not refund unused credit balances except in cases of demonstrable platform-wide service failure.
- If a specific Skill call fails because of an error on our side or the Skill creator's side, the credits for that call are automatically refunded to your wallet.
- If you initiate a payment dispute (chargeback) with your bank or card issuer for a transaction, we reserve the right to suspend your account and reverse the corresponding credits, including credits already spent, until the dispute is resolved.
3.4 Taxes
Prices displayed on the Service are exclusive of any applicable taxes, duties, or government levies. You are responsible for any taxes that apply to your purchase under your local jurisdiction.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right (including intellectual property rights)
- Generate, publish, or distribute content that is illegal, defamatory, hateful, harassing, deceptive, or fraudulent
- Generate sexual content involving minors, non-consensual intimate imagery, or content depicting real-world violence against identifiable persons
- Generate content intended to deceive or impersonate real people without their consent
- Reverse-engineer, decompile, or attempt to extract the source code of the Service or any Skill
- Probe, scan, or test the vulnerability of any system or network without authorization
- Bypass or circumvent rate limits, access controls, or other security measures
- Use the Service to develop a competing product or to train competing AI models
- Resell, sublicense, or transfer your access without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Use automated tools (bots, scrapers) in a way that exceeds normal human usage and burdens the platform
Violations may result in immediate suspension or termination of your account without refund, and potential legal action.
5. Creator-specific Terms
If you publish a Skill on AgentCab as a Creator, you additionally agree:
- You own or have rights to all code, models, and content used by your Skill.
- Your Skill must comply with the Acceptable Use rules in Section 4.
- You are responsible for your Skill's availability, accuracy, security, and lawful operation.
- You will respond to user-reported bugs and abuse reports in a reasonable time.
- You grant us a non-exclusive, worldwide, royalty-free license to display your Skill metadata (name, description, examples) in our marketplace, in our marketing materials, and in third-party search engines and aggregators.
- We may remove or unpublish your Skill at our discretion if it violates these Terms or harms users.
- You will receive earnings on calls to your Skill in the form of credits added to your wallet, less platform fees disclosed in your dashboard.
6. Intellectual Property
- The Service, including its source code, trademarks, logos, design, documentation, and content authored by us, is owned by AgentCab and protected by copyright, trademark, and other intellectual property laws.
- You retain ownership of any input you submit to the Service and of any output you receive (subject to any licenses or restrictions imposed by individual Creators or Skills).
- By publishing content on the Service (e.g. as a Creator publishing a Skill), you grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as needed to operate the Service.
- The AgentCab name and logo are our trademarks. Do not use them without our written permission.
7. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to that policy.
8. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation.
Skills are operated by independent Creators. We do not warrant that any Skill will produce accurate, useful, lawful, or harmless output. You are solely responsible for evaluating any output before relying on it for your own purposes.
AI-generated content can be inaccurate, biased, or offensive. You should not rely on AI output for medical, legal, financial, safety-critical, or other high-stakes decisions without independent professional verification.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall AgentCab, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.
Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless AgentCab and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) any content you submit, post, or transmit through the Service; (c) your violation of any third-party right; or (d) any dispute between you and another user.
11. Suspension and Termination
- You may stop using the Service and delete your account at any time via your account settings.
- We may suspend or terminate your account immediately, without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users.
- We may discontinue all or part of the Service at any time. If we do, we will give reasonable notice and refund any unused, undisputed credit balance.
- Sections that by their nature should survive termination — including Sections 6, 8, 9, 10, 13, and 14 — will survive.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms here, update the “Last updated” date, and, where appropriate, notify you. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute within 30 days, the dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted.
The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The number of arbitrators shall be one.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgentCab regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, government action, labor disputes, or internet outages.
